End User License Agreement.
This Agreement is between you and Koda Sampler, Inc. ("Koda", "we", "us") and governs your use of the KODA software (plugin and standalone application), the KODA Product Manager desktop application, and any sound libraries, presets, or other content we deliver (together, the "Software").
By installing, activating, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software. The websites and your account are covered separately by the Terms of Service; data handling by the Privacy Policy.

01 · Early Access
Early Access
The Software is currently provided as an Early Access release. This means:
- (a) The Software is pre-release and under active development. Features may change, break, or be removed without notice.
- (b) Projects, presets, and libraries created with an Early Access version may not be compatible with later versions.
- (c) We may update, suspend, or discontinue any part of the Software or the Early Access program at any time.
- (d) You should keep backups of your work. The Software is not recommended as the sole tool for irreplaceable or time-critical work during Early Access.
02 · License grant
License grant
Subject to this Agreement and payment of any applicable fees, Koda grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Software for your own music production and sound design, on up to five (5) devices that you own or control per license.
Trial licenses are granted for the trial period stated when the trial is issued, for evaluation purposes only, and expire automatically.
03 · Sound content
Sound content license
Sound libraries and other content are licensed, not sold. Unless a specific library states different terms at the point of purchase:
- (a) You may use the sounds in your own musical works and audiovisual productions, including commercial releases, without additional fees or credit to Koda.
- (b) You may not redistribute, resell, share, sublicense, or make available the sounds on a standalone basis (i.e., outside a musical or audiovisual work), whether original or modified, including in another sample library, preset pack, sample-based instrument, or AI training dataset.
- (c) Libraries created by third-party vendors and sold through the KODA store may carry their own license terms, presented at purchase. Where they do, those terms govern that library.
04 · Restrictions
Restrictions
You may not, and may not permit others to:
- (a) copy (except as reasonably necessary for use and backup), distribute, rent, lease, lend, sell, or sublicense the Software;
- (b) reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits it despite this restriction;
- (c) circumvent or attempt to circumvent license management, device activation, or content encryption;
- (d) share license keys or account credentials, or activate the Software on devices beyond your license's device limit;
- (e) use the sound content to train machine-learning models.
05 · Activation
Activation and updates
The Software uses license activation with a per-device limit (currently five devices per license). You can deactivate devices through your KODA account or the Product Manager to free up slots. Activation data handling is described in our Privacy Policy.
The KODA plugin itself does not connect to the internet. The Product Manager checks for updates when you launch it or when you ask it to, and a scheduled background job installed with the Product Manager keeps your license activations renewed; you can turn it off in the Product Manager's settings. Installing updates may be required for continued access to content downloads and license renewal.
06 · Feedback
Feedback
If you send us feedback, ideas, or suggestions about the Software, you grant Koda a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without obligation to you. Feedback is voluntary; this section does not apply to your music.
07 · Ownership
Ownership
The Software is licensed, not sold. Koda and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. Your rights are limited to those expressly granted in this Agreement. Music and audiovisual works you create using the Software are yours.
08 · Third-party software
Third-party software
The Software incorporates third-party and open-source components, which are used under their own licenses. A current list of acknowledgements and third-party notices is available at kodasampler.com/docs/acknowledgements.
09 · Termination
Termination
This Agreement is effective until terminated. It terminates automatically if you materially breach it. Upon termination you must stop using the Software and delete all copies. Sections 3(b), 6, 7, 10, 11, and 12 survive termination. Termination does not entitle you to a refund except as required by law or by our published refund policy.
10 · Warranty
Disclaimer of warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KODA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KODA DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH YOUR SYSTEM OR OTHER SOFTWARE. THIS IS ESPECIALLY TRUE OF EARLY ACCESS SOFTWARE.
Some jurisdictions do not allow the exclusion of implied warranties; you may have rights that vary by jurisdiction, and nothing in this Agreement limits rights you have under mandatory consumer protection law.
11 · Liability
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KODA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT. KODA'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID KODA FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE AND (B) FIFTY US DOLLARS (US$50).
12 · Governing law
Governing law
This Agreement is governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction over disputes arising from this Agreement, subject to any non-waivable consumer rights to bring claims in your home jurisdiction.
13 · General
General
If any provision of this Agreement is held unenforceable, the remainder stays in effect. This Agreement is the entire agreement between you and Koda about the Software and supersedes prior discussions. We may update this Agreement for future versions of the Software; the version accompanying the Software you installed governs that copy.
